How we work
Our four-stage Investment Acceleration Framework turns a project into a transaction. Each stage has a defined output, and the government, the sponsor and the investor each know what is expected of them before the stage begins.

Stage 1
Identification and sharing
The sponsor or government shares the project and its feasibility material. We screen it against investor criteria, prepare the expression of interest and, where the fit is right, make introductions under a non-disclosure and non-circumvention agreement.
Documents produced
- Expression of interest (EOI)
- Non-disclosure, non-circumvention agreement (NDNC)
- Memorandum of understanding (MOU)
Stage 2
Evaluation and negotiation
Technical, financial and legal appraisal follows, with the sponsor’s data room open to the investor. We structure the PPP or partnership case, coordinate the advisers and convene negotiations with the government counterparty.
Documents produced
- Concept proposal
- Feasibility review and risk matrix
- Term sheet or heads of terms
Stage 3
Deal agreement
Government approvals are secured and definitive agreements are executed, with licensed counsel on both sides and the investor’s own lenders and managers. Financial close follows satisfaction of the conditions precedent.
Documents produced
- Definitive agreements
- Government approvals
- Conditions-precedent checklist and financial close
Stage 4
Implementation and value realisation
The consortium builds and operates. We coordinate stakeholders, report progress against the agreed milestones and support follow-on phases.
Documents produced
- Implementation plan
- Progress reports
Three rules on every mandate
Confidentiality first
Project materials move only under NDNC. Deal-specific teasers are never published; they are shared with qualified counterparties on request.
Written engagement, disclosed fees
We act under written engagement letters that set out our role and remuneration. We receive no undisclosed commissions, and we disclose any economic interest we hold in a project before engagement.
Licensed professionals in their roles
Ephesus facilitates, structures and coordinates. Fund management, legal advice, lending and securities activity sit with the licensed parties on each transaction.
